ShelfLife — Terms of Service
Effective date: August 4, 2026
1. Agreement to these Terms
These Terms of Service (the "Terms") are a binding agreement between AdvancedAZAds, LLC, doing business as ShelfLife ("ShelfLife," "we," "us"), and the person or company that creates an account ("Customer," "you").
By creating an account, clicking to accept, or using the Service, you agree to these Terms and to the Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
If you accept these Terms on behalf of a company or another person, you represent that you have authority to bind them, and "you" means both you and them.
These Terms cover your account and every Book you add to it, now or in the future. No separate agreement is required per Book.
2. Definitions
- Book — a title you add to the Service, identified by its ASIN.
- Author — the rights holder of a Book. May or may not be the Customer.
- Advertising Account — the Amazon Advertising account (entity) under which your Books are advertised.
- Ad Spend — amounts Amazon charges for advertising delivered on your Advertising Account. Ad Spend is never paid to or through ShelfLife.
- Manuscript — any manuscript or book file you upload.
- Service — the ShelfLife platform and the advertising services we provide for your Books, including campaign creation, automated optimization, and the customer dashboard, together with any features and methods we add or change from time to time.
3. Eligibility and authority
The Service is for business use. You represent that you are at least 18 and are using the Service for commercial purposes — as a publisher, an agency, an assistant acting for an author, or a self-published author acting commercially.
Books that are not your own. You may add Books belonging to other Authors. By adding a Book, you represent and warrant that you are authorized to:
- add that Book to the Service and have advertising run for it;
- grant the license in §11 for its Manuscript and related materials, including its processing by our AI providers as described there;
- grant us access to the Advertising Account under which it will run; and
- bind the Author to these Terms with respect to that Book.
You are responsible for the accuracy of these representations, and you will indemnify us under §22 if any of them proves untrue. We may, but are not required to, ask for evidence of authority, and may decline or remove any Book.
Competing claims. We act on the instructions of the account holder until we receive written notice otherwise. If a dispute arises over who controls an account, we may suspend the account, and we may transfer it to the Author or rights holder on reasonable proof of entitlement. We are not obliged to adjudicate ownership disputes.
4. Accounts
You are responsible for your account credentials and for all activity under your account, including by anyone you give access to. Notify us promptly of any unauthorized use. Information you provide must be accurate and kept current.
5. The Service
For each Book, we create and manage Amazon Sponsored Products campaigns and adjust them over time based on performance. The methods we use — including campaign structure, keyword and targeting selection, the copy and creative elements available to us, optimization rules, and the use of automated or AI-assisted tools — are ours to determine and may change at any time.
Our target is to launch campaigns within 72 hours of payment. This is a target, not a service level commitment, and it depends on your having granted Advertising Account access and provided accurate Book information. If campaigns for a Book have not launched within 14 days of your first payment for that Book, for reasons not attributable to you, §15 gives you a refund right.
6. Automated optimization and AI — your consent
You acknowledge and consent that the Service makes changes automatically, without a person reviewing each one. These include adjusting bids, pausing underperforming keywords and targets, reallocating budget between campaigns, and adding new keywords and targets derived from search-term data. Parts of the Service may use artificial intelligence models provided by third-party AI providers — including for keyword generation, analysis of your Book, and advertising copy — as described in §11 and the Privacy Policy.
You further acknowledge:
- Automated decisions rely on advertising data as reported by Amazon at the time of the decision. Amazon attributes some orders days after the click, so a keyword or target may be paused based on the data then available and later appear to have been profitable. This is an inherent characteristic of advertising automation and is not a defect.
- We may change the rules, thresholds, and degree of automation at any time.
- All automated changes operate within the budget configured for the Book.
7. Advertising Account access
To provide the Service you must grant us access to your Advertising Account sufficient to create and manage campaigns. You grant ShelfLife and its software a limited, revocable authorization to create, modify, pause, and archive campaigns, ad groups, keywords, targets, bids, and budgets in that Advertising Account for your Books.
You must maintain the Advertising Account in good standing, including a valid payment method with Amazon, and comply with Amazon's applicable terms and advertising policies.
Revoking our access ends the Service. If access is revoked, suspended, or lost, we cannot perform, and we may terminate the affected Books immediately. Fees already paid are not refunded except as §15 provides.
8. Advertising spend is yours
Amazon bills Ad Spend directly to the payment method on your Advertising Account. Ad Spend does not pass through ShelfLife and is not included in our fees.
You are solely responsible for all Ad Spend incurred on your Advertising Account, whether or not it results in sales, and for understanding your own profit and loss, including royalties, printing, returns, and taxes. We are not liable for Ad Spend or for any outcome of it, including spend that is higher than you expected.
9. Budgets are targets, not caps
You set a monthly budget for each Book. We configure campaign budgets to target that amount. We do not guarantee that Ad Spend will not exceed it. Amazon controls delivery and billing; daily delivery can exceed a daily budget, spend is measured on Amazon's clock, and Amazon may bill on its own schedule. You are responsible for monitoring Ad Spend on your Advertising Account, and you may change the budget or pause a Book at any time.
10. Your responsibilities
You agree to:
- provide accurate Book information, including a correct ASIN;
- keep your Advertising Account and Amazon seller/author accounts in good standing;
- ensure your Books and the materials you supply to us comply with Amazon's policies and applicable law; and
- not modify, pause, or delete the campaigns, ad groups, keywords, targets, bids, or budgets we manage, and ensure that no one else with access to your Advertising Account does so.
If manual changes are made to campaigns we manage: our software may overwrite them on its next run; we are not responsible for their effect on performance or spend; and we may suspend or terminate the Service for the affected Book.
11. Manuscripts, content, and AI processing
You keep all rights in your Manuscripts and Books. Nothing here transfers ownership.
You grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, and use each Manuscript and the materials you provide, for the sole purpose of creating and optimizing advertising for the Book it relates to. That processing may include analysis by ShelfLife personnel and by artificial intelligence models operated by our AI providers, acting on our behalf, to extract keywords, themes, and comparable titles and to generate advertising copy.
Use of Artificial Intelligence. ShelfLife utilizes third-party Artificial Intelligence tools in the development of its advertising campaigns, along with advertising data collected from third parties. ShelfLife does not train any Artificial Intelligence models on subscriber manuscript submissions. Manuscripts provided to ShelfLife remain the property of the submitting author. Such data is used exclusively for business and service-delivery purposes; Manuscripts are retained while the related Book's subscription is active and are ordinarily deleted from ShelfLife's systems within a commercially reasonable period after that subscription ends, generally no more than 90 days. Limited retention beyond that may occur only when necessary to provide customer support related to the submission or to complete a refund or similar administrative process.
Limits on that license — we will not:
- publish, distribute, sell, or publicly display your Manuscript;
- use it, or permit any AI provider to use it, to train any machine learning model — our AI providers process it solely to provide the Service to us, under contract terms that prohibit training on it;
- use it for any Book or customer other than yours; or
- use it for any purpose after the Book is terminated, except during the deletion period below.
Advertising copy. Where we generate advertising copy for your Book, we are responsible for ensuring that copy complies with Amazon's advertising policies; you remain responsible for the Book itself and for materials you supply. If you object to copy we generated, tell us and we will change or remove it. Your indemnity in §22 does not cover claims arising solely from advertising copy we generated, except to the extent the claim arises from the Manuscript or materials you provided.
Storage and deletion. Manuscripts are stored in private storage accessible only through our backend systems. When a Book's subscription ends, its Manuscript is retained for the grace period described above (generally no more than 90 days — so an accidental cancellation or a quick return doesn't require re-upload, and support or refund matters can be resolved), then deleted from our live systems, and removed from backups as those backups expire in the ordinary course of our backup rotation. See Privacy Policy §5 and §10.
You represent that you own, or are authorized to license, everything you upload, including Manuscripts, cover images, and advertising materials, and that it does not infringe any third party's rights.
12. Copyright complaints (DMCA)
We respect copyright and expect our customers to. If you believe material on the Service infringes your copyright, send a notice to our designated agent containing the information required by 17 U.S.C. §512(c)(3): identification of the work and the allegedly infringing material, your contact information, a statement of good-faith belief, a statement of accuracy under penalty of perjury, and your physical or electronic signature.

We will respond to valid notices, which may include removing the material and terminating the affected Book. The account holder may submit a counter-notice under §512(g). We terminate the accounts of repeat infringers.
13. Fees, billing, and taxes
The fee is $189 per Book per month, billed in advance, per marketplace unless we agree otherwise. Adding a Book creates a separate subscription for that Book.
You authorize us and our payment processor to charge your payment method on a recurring basis until you cancel. We may change our prices on 30 days' notice; changes take effect at your next renewal.
Fees are exclusive of taxes, which are added where applicable.
If a payment fails, we may retry, and we may suspend or terminate the Service for the affected Book after 7 days. Suspension does not stop Ad Spend on your Advertising Account — you remain responsible for pausing campaigns if you want spend to stop.
14. Term, cancellation, and termination
The Service is month to month. There is no minimum term and no notice period.
You may cancel any Book at any time from your dashboard. Cancellation takes effect at the end of the billing period you have already paid for; the Service continues until then.
On cancellation or termination:
- We wind down the campaigns for that Book by pausing and archiving them. Amazon does not permit campaign deletion, and archived campaign names remain permanently reserved on your Advertising Account. If you return later, we create new campaigns rather than restoring the old ones.
- Our access authorization under §7 ends for that Book.
- The Manuscript deletion clock in §11 starts.
- Amounts already paid are not refunded except as §15 provides.
We may terminate or suspend the Service, in whole or part, for breach of these Terms, non-payment, loss of Advertising Account access, repeat infringement (§12), or if we reasonably believe continuing would violate law or Amazon's policies.
We may also terminate any Book or account for convenience on 30 days' notice, or discontinue the Service generally on 30 days' notice. If we do, we refund the prepaid fees for the unused portion of the period after termination takes effect.
15. No guarantee of results; refunds
We do not guarantee any result. Advertising performance depends on your Book, its price, cover, reviews, category, competition, and Amazon's auction — most of which are outside our control. We make no guarantee of sales, rank, advertising cost of sale (ACOS), return on ad spend, or profitability, and no statement by us or on our website is a guarantee.
Fees are non-refundable, and we do not offer a satisfaction guarantee or money-back guarantee, with two exceptions:
- Launch failure. If campaigns for a Book have not launched within 14 days of your first payment for that Book, for reasons not attributable to you (such as not granting Advertising Account access or providing inaccurate Book information), you may cancel that Book and, on request, receive a full refund of the fees paid for it.
- Our termination for convenience. If we terminate under the last paragraph of §14, we refund the unused portion of prepaid fees.
Otherwise, your protection is that you are never locked in: no minimum term, no notice period, cancel any time (§14).
16. Availability and reporting
We do not commit to any level of uptime. The Service depends on Amazon's advertising APIs, which may be unavailable, rate limited, delayed, or changed without notice.
The dashboard is provided for convenience. Amazon's own reporting is authoritative for advertising performance and spend. Where our figures differ from Amazon's, Amazon's control.
17. Intellectual property and feedback
We own the Service, including its software, campaign structures, optimization rules and methods, and all related intellectual property. These Terms grant you no license to it other than the right to use the Service. Any advertising copy we generate for your Book may be used by you in connection with that Book's advertising; we claim no ownership of your underlying work.
If you send us suggestions or feedback, you grant us an unrestricted, royalty-free right to use it without obligation to you.
18. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service, using at least reasonable care, and will not use it except to perform under these Terms. This does not apply to information that is public, independently developed, or lawfully received from a third party, or to disclosures required by law.
19. Data and privacy
Our handling of personal information is described in the Privacy Policy.
You agree that we may use data generated through the Service — including advertising performance data — in aggregated and de-identified form to operate and improve the Service and to produce benchmarks and statistics, provided that such data does not identify you, any Author, or any Book.
20. Disclaimers
EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT IT WILL ACHIEVE ANY PARTICULAR RESULT.
We are not responsible for Amazon's acts or omissions, including changes to its policies, APIs, reporting, fees, or its suspension of your accounts.
21. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, SALES, DATA, OR GOODWILL.
(b) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID US IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
(c) AD SPEND IS EXPRESSLY EXCLUDED FROM ANY AMOUNT WE MAY OWE YOU. Ad Spend is paid by you to Amazon, is not received by us, and is not recoverable from us under any theory.
22. Indemnification
You will defend, indemnify, and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising from: your Books, Manuscripts, or materials you supply; your breach of these Terms; your violation of law or Amazon's policies; Ad Spend; or any claim that you lacked authority to add a Book, license a Manuscript, or grant access to an Advertising Account (§3). This indemnity does not cover claims arising solely from advertising copy we generated, except to the extent the claim arises from the Manuscript or materials you provided (§11).
We will defend, indemnify, and hold you harmless from any third-party claim that the Service, as provided by us, infringes that third party's intellectual property rights.
23. Changes to these Terms
We may update these Terms. Changes that expand the Service, or that do not materially reduce your rights, take effect when posted. If a change materially affects your rights, we will give notice — by email or in the Service — and will ask you to accept the updated Terms. Continued use after the effective date of an update constitutes acceptance. Prior versions remain available at /legal/terms/vN.
24. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of laws rules. The exclusive venue for disputes is the state courts located in Montgomery County, Virginia, and the federal courts of the Western District of Virginia, and each party consents to their jurisdiction.
25. General
Precedence. If you and ShelfLife have signed a separate written agreement covering the Service, that agreement controls to the extent it conflicts with these Terms.
Entire agreement. These Terms and the Privacy Policy are the entire agreement between us regarding the Service and supersede prior discussions.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
Severability and waiver. If a provision is unenforceable, the rest remains in effect. A failure to enforce is not a waiver.
Notices. We may give notice by email to your account address or in the Service. Notices to us go to legal@getshelflife.com or AdvancedAZAds, LLC, 1700 Kraft Dr. STE 2000, Blacksburg, VA 24060.
Electronic acceptance. You consent to contract electronically. Your click constitutes your signature under the E-SIGN Act and UETA.
Independent contractors. Nothing here creates a partnership, joint venture, employment, or general agency relationship. Our authority is limited to §7.
